TERMS OF SERVICE

Welcome to ResidentAgent, LLC ("Platform," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the ResidentAgent website, applications, products, and services related to the listing, purchase, sale, licensing, and use of AI agents and related digital assets, accessible at https://www.residentagent.ai.
By accessing or using ResidentAgent, you agree to be bound by these Terms. If you do not agree, you may not use the Platform. If you have any questions, please contact us at tos@residentagent.ai.
ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Platform. By using ResidentAgent, you represent and warrant that you have the legal capacity to enter into these Terms. If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to bind that organization to these Terms.
2. Description of Services
ResidentAgent provides a marketplace and related tools that allow users to: list AI agents, automations, prompts, workflows, integrations, and related digital products for sale or license; browse, purchase, and use AI agents and related assets; and manage transactions, communications, and account activity through the Platform. ResidentAgent may modify, suspend, or discontinue any part of the Platform at any time without liability.
3. Accounts
To access certain features, you may need to create an account. You agree to: provide accurate and complete information; keep your login credentials secure; promptly update any account information; and accept responsibility for all activity under your account. You may not transfer your account to anyone else without our prior written permission. You will not share your account or password with anyone.
You may also be able to access certain features by using credentials from third-party services such as Google ("Third Party Accounts"). By doing so, you permit us to access certain information from that account as needed to provide the Services. You control how much information is accessible to us through your Third Party Account privacy settings.
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Marketplace Role
ResidentAgent acts solely as a platform connecting buyers and sellers unless otherwise stated. Unless explicitly identified as the seller, ResidentAgent is not the owner, creator, reseller, or licensor of third-party AI agents listed by users. We do not guarantee the quality, legality, functionality, safety, accuracy, or fitness of any third-party AI agent or related content.
Users may not enter into separate agreements outside of ResidentAgent relating to products listed on the Platform ("Outside Agreements"). If you do enter into any Outside Agreement, we may terminate your account, and you acknowledge that ResidentAgent is not a party to and is not responsible for enforcing any Outside Agreement.
5. Seller Responsibilities
If you list an AI agent or related digital product for sale or license, you agree that: you own or have all necessary rights to list, license, and distribute the product; your listing is accurate and not misleading; your product does not infringe any third-party intellectual property or other rights; your product complies with applicable laws and these Terms; and you will clearly disclose material limitations, dependencies, risks, and usage requirements.
Sellers are solely responsible for their listings, support commitments, updates, and any claims arising from their products. Sellers may not collect information from buyers beyond what is necessary to fulfill the transaction, must protect any buyer data collected, and must comply with all applicable privacy laws. Upon completion of a transaction or upon request, sellers must properly destroy any buyer information collected and make no further use of it.
6. Buyer Responsibilities
If you purchase or license an AI agent or related product through ResidentAgent, you agree that: you will use it only in accordance with the applicable license and these Terms; you are responsible for evaluating whether the product meets your needs; you will not misuse the product, reverse engineer it where prohibited, or use it for unlawful purposes; and you understand that AI systems may produce inaccurate, incomplete, biased, or unexpected outputs.
7. Payments, Fees, and Refunds
Prices, platform fees, commissions, and payment terms will be displayed on the Platform or at checkout. By making a purchase, you authorize ResidentAgent and its payment processors (currently Stripe, Inc.; see Stripe's Terms of Service at https://stripe.com/us/checkout/legal and Privacy Policy at https://stripe.com/us/privacy) to charge the applicable fees, taxes, and charges. We are not responsible for any errors by or acts or omissions of our payment processors.
Unless otherwise stated: all sales of digital products are final; refunds are issued only where required by law or under an applicable refund policy; and ResidentAgent may deduct service fees, commissions, chargebacks, taxes, or processing costs before remitting funds to sellers. We reserve the right to change pricing and fees at any time.
Paid Subscriptions. Some Services may involve recurring charges ("Paid Subscriptions"). By choosing a Paid Subscription, you authorize us to submit periodic charges without further authorization until you cancel. WE MAY SUBMIT PERIODIC CHARGES (E.G., MONTHLY) WITHOUT FURTHER AUTHORIZATION FROM YOU UNTIL YOU PROVIDE PRIOR NOTICE THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. TO TERMINATE OR CHANGE YOUR PAYMENT METHOD, GO TO ACCOUNT SETTINGS.
Current Information Required. YOU MUST PROVIDE CURRENT, COMPLETE, AND ACCURATE BILLING INFORMATION AND PROMPTLY UPDATE IT IF IT CHANGES. IF YOU FAIL TO DO SO, WE MAY CONTINUE CHARGING YOU FOR ANY PAID SUBSCRIPTIONS UNLESS YOU HAVE TERMINATED THEM AS SET FORTH ABOVE.
Auto-Renewal. Unless you opt out via account settings, Paid Subscriptions will automatically renew at the then-current non-promotional rate. If you terminate a Paid Subscription, you may use it until the end of your current term but will not receive a prorated refund. PAID SUBSCRIPTIONS CANNOT BE TERMINATED BEFORE THE END OF THE PERIOD FOR WHICH YOU HAVE ALREADY PAID, AND EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, RESIDENTAGENT WILL NOT REFUND ANY FEES ALREADY PAID.
Free Trials. Any free trial must be used within the specified trial period. You must cancel before the trial ends to avoid being charged. If you are inadvertently charged, contact us at tos@residentagent.ai.
8. Licenses and Ownership
8.1 Platform Ownership ResidentAgent and its licensors retain all rights, title, and interest in and to the Platform, including all software, branding, design, content, and related intellectual property.
8.2 Seller Content Sellers retain ownership of their own AI agents and related content, subject to any license granted to buyers and any rights necessary for ResidentAgent to operate the Platform.
8.3 Buyer License Unless otherwise stated, purchases grant buyers a limited, non-exclusive, non-transferable, revocable license to use the purchased AI agent or product for its intended purpose, subject to the listing terms and these Terms. You may not resell, redistribute, sublicense, copy, or exploit purchased products except as expressly permitted.
8.4 User Submissions Anything you post, upload, share, or otherwise provide through the Platform is your "User Submission." You are solely responsible for all User Submissions and represent that they are accurate, complete, and compliant with applicable law. By submitting User Submissions, you grant ResidentAgent a worldwide, non-exclusive, perpetual, royalty-free, fully paid, sublicensable, and transferable license to use, edit, modify, reproduce, distribute, prepare derivative works of, display, and perform such submissions in connection with the Platform and ResidentAgent's business, including after termination of your account. This license does not affect your other ownership rights in your User Submissions.
You agree not to submit User Submissions that: infringe any third-party rights; contain sexually explicit content or pornography; contain hateful, defamatory, or discriminatory content; exploit minors; depict unlawful acts or extreme violence; or violate any law.
9. Prohibited Conduct
You agree not to: violate any law or regulation; infringe intellectual property, privacy, publicity, or other rights; upload malware, harmful code, or malicious prompts; use the Platform to distribute deceptive, fraudulent, or illegal AI agents; misrepresent an AI agent's functionality, training, origin, or performance; attempt to interfere with the Platform's security or operation; scrape, crawl, or harvest data without authorization; or use AI agents for spam, harassment, surveillance abuse, discrimination, or other harmful conduct. We may remove content or suspend accounts for suspected violations.
10. AI Output Disclaimer
You acknowledge that AI agents and related tools may generate outputs that are incorrect, offensive, incomplete, misleading, or unsuitable for a particular purpose. ResidentAgent does not guarantee that any AI output will be accurate, lawful, safe, or fit for decision-making. You are solely responsible for reviewing, validating, and using any outputs generated by AI agents obtained through the Platform. AI agents available on ResidentAgent must not be relied on as a substitute for legal, medical, financial, or other regulated professional advice unless explicitly authorized and compliant with applicable law.
10.1 Earnings, Results, and Automation Disclaimer
PLEASE READ THIS DISCLAIMER CAREFULLY. BY USING THE PLATFORM, YOU AGREE TO THESE TERMS.
No Guarantees of Results
ResidentAgent makes no claims, representations, or guarantees as to the income, revenue, cost savings, productivity gains, business outcomes, or financial results you may achieve through the use of any AI agent, automation, workflow, or related product purchased or accessed through the Platform.
Any testimonials, case studies, income statements, or performance examples shared by users or sellers are anecdotal and individual results only. They are not to be construed as claims of average or expected results. ResidentAgent has performed no independent verification of any such figures or statements.
AI Performance Is Not Guaranteed
The performance of any AI agent depends on many factors outside ResidentAgent's control, including but not limited to: the quality of your data, your technical environment, third-party API availability, changes to underlying AI models, and your own implementation decisions. ResidentAgent does not guarantee that any AI agent will perform as described, produce accurate outputs, or be suitable for your specific use case.
No Professional or Financial Advice
Nothing on the Platform constitutes legal, financial, investment, tax, medical, or other professional advice. You should consult qualified professionals before making decisions based on AI outputs or automations obtained through the Platform.
Due Diligence and Risk
You are solely responsible for evaluating any AI agent or product before purchase and use. Success in automating any business process or achieving any financial outcome depends on many factors individual to you. ResidentAgent will not share in your success, nor will ResidentAgent be responsible for your losses, failures, or any negative outcomes arising from your use of products obtained through the Platform. Past performance of any AI agent or automation, whether demonstrated by a seller or described in reviews, cannot be relied upon as an indication of future results.
Agentic and Automated Actions
Some AI agents available on the Platform may take automated actions on your behalf, including but not limited to sending communications, executing API calls, modifying data, interacting with third-party services, or triggering workflows. YOU ASSUME FULL RESPONSIBILITY FOR ANY AND ALL ACTIONS TAKEN BY AI AGENTS YOU DEPLOY OR AUTHORIZE. ResidentAgent is not liable for any damages, losses, costs, or consequences — whether direct, indirect, or consequential — arising from automated actions taken by AI agents obtained through the Platform, including actions taken in error, without your explicit awareness, or as a result of unexpected AI behavior.
11. Content Moderation and Removal
We reserve the right, but not the obligation, to monitor listings, communications, reviews, and other content on the Platform. We may remove, restrict, or disable access to any content or account at our discretion, including where we believe it violates these Terms, applicable law, or creates risk for users or ResidentAgent.
12. Third-Party Services
The Platform may integrate with or link to third-party tools, APIs, payment processors, hosting providers, model providers, or external websites. We are not responsible for third-party services, content, availability, or practices. Your use of third-party services may be subject to separate terms and privacy policies.
13. Reviews and Feedback
Users may submit reviews, ratings, comments, or feedback. By submitting feedback, you grant ResidentAgent a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, publish, and display that feedback for Platform-related purposes. You agree that reviews must be honest, lawful, and not misleading or abusive.
14. DMCA / Copyright Infringement
If you believe content on the Platform infringes your copyright, please send a notice to tos@residentagent.ai containing: (a) a signature of the copyright owner or authorized agent; (b) identification of the copyrighted work and the infringing material; (c) your contact information; (d) a statement of good faith belief that the use is unauthorized; and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act.
Upon receipt of a valid notice, we may remove the infringing material, notify the content provider, and terminate repeat infringers' access. Content providers who believe material was wrongly removed may submit a counter-notice to tos@residentagent.ai including their signature, identification of the removed material, a good faith belief statement, and consent to jurisdiction of the applicable federal court. Removed material may be restored 10–14 business days after receipt of a valid counter-notice unless the copyright owner seeks a court order.
15. User Disputes
If there is a dispute between users or between a user and any third party, ResidentAgent is under no obligation to become involved. In the event of a dispute with one or more other users, you release ResidentAgent and its officers, directors, employees, agents, and successors from all claims, demands, and damages of every kind, known or unknown, arising out of or related to such disputes. You waive any law of any jurisdiction similar in substance to California Civil Code Section 1542, which provides that a general release does not extend to claims the releasing party does not know or suspect to exist at the time of the release.
16. Referral Program
From time to time ResidentAgent may offer referral rewards or incentives. There is no limit to the number of referrals you may make unless otherwise stated. Rewards are issued for each new user referred who completes the required action. ResidentAgent reserves the right to modify or terminate any referral offer at any time and to revoke rewards if it determines a user is attempting to obtain an unfair advantage or violate the spirit of the program.
17. Messages and SMS
You consent to receive text messages (e.g., promos, reminders) from ResidentAgent. Consent is not a condition of purchase. Msg & data rates may apply. Msg frequency varies. Unsubscribe at any time by replying STOP or clicking the unsubscribe link (where available). By providing your wireless number, you confirm consent to receive automated messages and agree to indemnify ResidentAgent from any claims arising from your breach of this section.
18. Privacy
ResidentAgent takes the privacy of its users very seriously. For the current ResidentAgent Privacy Policy, please visit https://www.residentagent.ai/privacy.
19. Children's Privacy
We do not knowingly collect or solicit personally identifiable information from children under sixteen (16) years of age. If you believe that a child under sixteen (16) years of age may have provided us personal information, please contact us at tos@residentagent.ai and we will delete that information promptly.
20. Changes to the Platform
We may suspend or discontinue any part of the Platform, introduce new features, impose limits, or restrict access at any time. We will try to give notice of material changes that adversely affect you, but this is not always practical. We reserve the right to remove any content at any time for any reason without notice.
21. Warranty Disclaimer
THE PLATFORM AND ALL CONTENT AND SERVICES ARE PROVIDED BY RESIDENTAGENT AND ITS LICENSORS ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU.
22. Limitation of Liability
TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL RESIDENTAGENT OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUCCESSORS BE LIABLE FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE, OR COMPUTER FAILURE; (B) ANY SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY; (C) ANY AMOUNT IN AGGREGATE EXCEEDING THE GREATER OF ONE HUNDRED ($100) DOLLARS OR THE AMOUNTS PAID BY YOU TO RESIDENTAGENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (D) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THESE EXCLUSIONS, SO THE ABOVE MAY NOT APPLY TO YOU.
23. Indemnity
You agree to indemnify and hold ResidentAgent and its officers, directors, employees, and agents harmless from any claims, liabilities, damages (actual and consequential), losses, and expenses (including attorneys' fees) arising from: (a) your use of the Platform, your listings, or your purchases; (b) any actions taken by a third party using your account; (c) any automated actions taken by AI agents you deploy or authorize through the Platform; or (d) your violation of these Terms. We will attempt to provide notice of any such claim to the contact information on your account, though failure to provide such notice does not reduce your obligations.
24. Assignment
You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder without ResidentAgent's prior written consent. ResidentAgent may transfer, assign, or delegate these Terms and its rights and obligations without your consent.
25. Arbitration Agreement
ResidentAgent's officers, directors, employees, and independent contractors ("Personnel") are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce these Terms against you.
Good-Faith Negotiation. The parties shall use best efforts to settle any dispute through good-faith negotiations before initiating arbitration.
Binding Arbitration. If negotiations fail, disputes shall be finally settled by binding arbitration in Delaware, in the English language, in accordance with the JAMS Streamlined Arbitration Rules and Procedures then in effect, by one commercial arbitrator with substantial experience in intellectual property and commercial contract disputes. Judgment on the award may be entered in any court of competent jurisdiction.
Costs. ResidentAgent will pay all arbitration fees for claims less than $75,000 and will not seek its attorneys' fees unless the arbitrator determines your claim is frivolous.
Small Claims; Injunctive Relief. Either party may assert qualifying claims in small claims court. Either party may also seek injunctive or other equitable relief from any court of competent jurisdiction to prevent infringement of intellectual property rights.
26. Waiver of Jury Trial
YOU AND RESIDENTAGENT WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO A TRIAL IN FRONT OF A JUDGE OR JURY. IN ANY LITIGATION OVER WHETHER TO VACATE OR ENFORCE AN ARBITRATION AWARD, YOU AND RESIDENTAGENT WAIVE ALL RIGHTS TO A JURY TRIAL AND ELECT TO HAVE THE DISPUTE RESOLVED BY A JUDGE.
27. Waiver of Class or Consolidated Actions
ALL CLAIMS AND DISPUTES MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER USER. If this waiver is found unenforceable, neither party is entitled to arbitration and all claims will be resolved in court.
28. Opt-Out
You have the right to opt out of arbitration by sending written notice to tos@residentagent.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, the email address and/or phone number associated with your account, and a clear statement that you wish to opt out of arbitration.
29. Choice of Law
These Terms are governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Delaware, without regard to conflicts of laws provisions.
30. Exclusive Venue
Any judicial proceedings (other than small claims) will be brought in the state or federal courts located in Delaware.
31. Termination
You may stop using the Platform at any time by contacting us at tos@residentagent.ai. ResidentAgent reserves the right to suspend or terminate your access for any reason, including breach of these Terms. Account termination may result in deletion of content associated with your account. If you believe your account was deleted by mistake, contact us immediately at tos@residentagent.ai — we will try to help but cannot guarantee recovery.
Provisions that by their nature should survive termination — including payment obligations, indemnity, limitations of liability, arbitration, and intellectual property terms — shall survive.
32. Miscellaneous
You are responsible for paying, withholding, filing, and reporting all taxes and governmental assessments associated with your activity on the Platform. The failure of either party to exercise any right shall not be deemed a waiver of further rights. If any provision of these Terms is found unenforceable, it will be limited or eliminated to the minimum extent necessary and the remaining Terms will remain in full force. These Terms constitute the complete and exclusive agreement between you and ResidentAgent regarding the Platform and supersede all prior agreements. You are not an employee, agent, partner, or joint venture of ResidentAgent and have no authority to bind ResidentAgent in any respect.
Except as expressly set forth in the arbitration section above, there are no third-party beneficiaries to these Terms.
33. Changes to These Terms
We reserve the right to update these Terms at any time. We will post notice of material changes at https://www.residentagent.ai and notify you by email where practicable. Continued use of the Platform after changes become effective constitutes your acceptance. If you do not agree with updated Terms, you must stop using the Platform.
